Valuation as a governance mechanism in the bylaws of brazilian agricultural cooperative

This study explores the concepts of valuation as a corporate governance mechanism in the bylaws of Brazilian agricultural cooperatives, focusing on the admission and control of members. Valuation is considered a normalizer and driver of the value of shares, influencing governance by regulating the entry, exclusion, or elimination of members. Using document analysis and the Iramuteq software for lexical and semantic analysis, we examined 21 cooperative statutes. We discovered that 14 of them incorporate terms related to propositional dynamics, with emphasis on administration, inspection, and dismissal as management attributes. The similarity analysis reinforced the importance of "administration" in governability, associated with criteria such as value, capital, surplus, exclusion, admission, participation, and result. Empirical research is recommended to assess the perception of cooperative actors about the relevance of valuation in governance and decision-making.
